  • About the Role: We are seeking to appoint n in-house Equity Capital Markets Lawyer, Director to work in our London office.
  • Looking for: Among your myriad skills, we are looking to secure your strong background in advising banks within the UK; a familiarity with working “in-house” in an investment bank is important, whether from a secondment to a bank or a previous in-house position; and strong experience in continental equity capital markets with some familiarity with: US Securities Act issues and Block trades.
  • Opportunities: The opportunities afforded to you will include but not be limited to, the provision of legal, regulatory and risk advice and practical assistance to the investment banking and ECM teams, and to the corporate broking and London sponsor teams, at speed, and under time pressure; and drafting and negotiating a wide array of deal documentation in tandem with and without outside counsel on the full gamut of ECM and ELCM products.
  • The role requires a good knowledge of documentation, structure, risk analysis and the regulatory requirements for documented deals (i.e. IPOs, rights issues, add-ons and open offers) and undocumented deals (seller block trades and issuer placings). This position would sit with other ECM lawyers amongst the ECM syndicate, origination and execution teams.
